Hua Nian Mall User Agreement
The "Hua Nian Mall User Agreement" (hereinafter referred to as "this agreement") refers to the agreement between you (or "user", referring to individuals or organizations who register, log in, use, and browse Hua Nian Mall) and Shenzhen Hua Nian San Tian Electronics Co., Ltd. (platform operator) regarding the Hua Nian Mall website (domain name: https://www.hnstshop.com/ The agreement between (referred to as this website) and the products, programs, and services of Huanian Mall. Hua Nian Mall signs this agreement with you regarding the rights and obligations you enjoy and assume during the process of receiving services on this website, and independently assumes responsibility for you, without any guarantee, joint or several liability
Huanian Mall hereby reminds users to carefully read and fully understand the terms of this agreement. Your acceptance of this agreement constitutes voluntary acceptance of all terms and conditions. Please read and fully understand the contents of each clause carefully, especially the clauses that exempt or limit liability, legal application, and dispute resolution clauses. If you agree to this agreement and complete all registration procedures, it means that you have fully read, understood, and accepted all the contents of this agreement, and have reached an agreement with Huanian Mall to become a user of the Huanian Mall platform. During the process of reading this agreement, if you do not agree with this agreement or any of its terms, you should immediately stop the registration process.
1、 Confirmation and acceptance of service terms
The operating entity of the Huanian Mall platform is Shenzhen Huanian Santian Electronics Co., Ltd., and the sales entity of the platform's products is Shenzhen Huanian Santian Electronics Co., Ltd. Under this agreement, the operating entity of the Huaxian Mall platform may change due to adjustments in platform business. The changed Huaxian Mall platform operating entity will jointly perform this agreement with you and provide services to you. The change in the operating entity of the Huaxian Mall platform will not affect your rights and interests under this agreement.
2、 Application and Use of Huayian Mall Account
2.1 [Hua Nian Mall Account Usage Agreement]
If you log in to Huanian Mall, you still need to register for a Huanian Mall account. Your application, use, and other behaviors of the Huayuan Mall account should comply with the Huayuan Mall account usage agreement and the regulations revised and published by Huayuan Mall from time to time.
2.2 [Hua Nian Mall Account Usage Agreement]
Before you start the registration process to use the services of this platform, you should have the civil capacity required by the laws of the People's Republic of China that is appropriate for your actions. If you do not have the civil capacity corresponding to your behavior as mentioned above, you shall use this software with the participation of your guardian, and you and your guardian shall bear all consequences arising therefrom in accordance with the law. The actions taken under your account represent you personally; If you need to represent a specific unit to purchase goods or enjoy services on the Huanian Mall platform, you must provide the relevant identification and authorization materials of the unit according to the requirements of Huanian Mall.
In addition, you must ensure that you are not the subject of any trade restrictions, sanctions, or other legal or regulatory restrictions imposed by any country, international organization, or region, otherwise you may not be able to register and use the services of the Huayuan Mall platform normally.
3、 Platform Services and Standards
1. Purchase goods
The products and services on the mall platform are operated by Shenzhen Huanian Santian Electronics Co., Ltd.
3.1.2 [Contract Signing] You understand and agree that the products, prices, specifications, and other information displayed on the Huayuan Mall platform are for your reference only. When placing an order, you must confirm the specific content of the order and submit it after confirming that it is correct. After you submit an order on the Huanian Mall platform and pay the full amount, it will be deemed that you have established a contractual relationship with this platform for the goods you have paid for. Before the establishment of the sales contract between the seller and you, both you and Hua Nian Mall have the right to cancel orders for related products.
3.1.3 [Payment before delivery clause] You understand and agree that this platform implements the payment before delivery method, and timely, full, and legal payment of the required amount for purchasing goods by users is a condition for the establishment and effectiveness of the contract, as well as a prerequisite for the seller to ship to users. If you fail to complete the payment in a reasonable manner or within the specified time, it shall be deemed that the contract has not been established, and Hua Nian Mall has the right to cancel the order.
3.1.4 [Out of stock Disclaimer] Hua Nian Mall will try its best to meet your needs and avoid the products you have purchased being out of stock. However, due to technical barriers and various uncontrollable and unavoidable factors, the seller cannot guarantee that all the products that meet the requirements in your submitted order are in stock; If the product you ordered is out of stock, you have the right to cancel the order and terminate the contract. The seller also has the right to cancel the order and terminate the contract. If you have already made the payment, a refund will be processed for you. After the order is cancelled, the amount you have already paid will be refunded to your payment account. You understand and acknowledge that the refund time may vary due to different payment platforms, payment methods, and other reasons.
3.1.5 [Prohibition of Malicious Purchase, Purchasing, and Resale Terms] Your purchasing behavior should be based on real consumption needs, and there should be no malicious purchase, malicious rights protection, or other behavior that disrupts the normal trading order of the Huanian Mall platform for goods and/or services. In order to maintain the order and security of transactions on the Huaxian Mall platform, Huaxian Mall may proactively execute actions such as closing relevant transaction orders and terminating contracts when it discovers the above situation.
3.1.6 [Price Display] Despite Huanian Mall's best efforts to ensure the accuracy of product prices, there may be occasional pricing errors in product prices. If the correct pricing of a certain product is higher than the pricing displayed on the Huanian Mall website, or if the order price is incorrect due to system settlement errors, Huanian Mall has the right to decide based on the specific situation, contact you for your opinion, or cancel your order, terminate the contract, and notify you.
3.1.7 [Platform Information Changes] The promotional content, parameter prices, quantities, availability, and other product/service information on the Huanian Mall platform may change at any time without special notice. As the amount of goods/services information on the platform is extremely large, although the Huanian Mall platform will try its best to ensure the accuracy of the goods/services information you browse, due to the well-known Internet technology factors and other objective reasons, the information displayed on the platform may have a certain lag or error, which you know and understand, and agree not to investigate the breach or tort liability of the Huanian Mall platform; If you find that the product/service information is incorrect or you have any questions, please do not submit an order or accept the service, and inform the Huanian Mall platform as soon as possible.
3.1.8 [Promotion Description] Huayuan Mall will carry out various forms of promotional activities. You can only participate in the activities during the validity period and enjoy corresponding discounts according to the activity rules.
（2） Product logistics
3.2.1 [Delivery Information] When placing an order, you must fill in the recipient, contact information, delivery address, contract fulfillment method, and other details of the goods you wish to purchase. The goods you purchase will be delivered to the delivery address you specify. Any losses caused by your change of contact person or related delivery information shall be borne by you.
3.2.2 [Delivery Time] The system will determine whether to push and display the delivery time based on different order types. If it is displayed, the delivery time listed in the order information is the reference time. The calculation of the reference time is estimated based on inventory status, normal processing procedures, delivery time, and delivery location, and is not a promised delivery time, nor is it equal to the actual delivery or installation time. You are aware that the products on the platform may be out of stock, or there may be delays in product delivery due to stock shortages. You understand and accept that Huanian Mall does not assume any responsibility for this.
3.2.3 [Delivery of Goods] The goods you purchased will be delivered to the designated delivery address by Huanian Mall through self delivery, logistics companies, and other means. Please follow the delivery process of Huanian Mall to collect the goods; When the goods are delivered to the consignee or the consignee's agent, it is deemed that you have completed the receipt of the goods and acknowledge that the received goods do not have any appearance defects, damages or other problems. You shall bear joint and several liability for the legal consequences of the consignee's actions and intentions. If signature confirmation is required, please read the relevant terms carefully before signing.
3.2.4 [Accurate Information] You should accurately fill in your real name, delivery address, and contact information. If the order is delayed or unable to be delivered due to the following circumstances, the merchant shall not be held responsible and reserves the right to unilaterally cancel the order:
(1) Delivery address, contact information and other information are incorrect, non-existent or not detailed enough;
(2) The delivery personnel contacted twice through the reserved receiving phone, but were unable to reach or no one answered;
(3) The cost and related consequences of duplicate delivery caused by no one signing for the delivery of goods;
(4) Force majeure, such as natural disasters, traffic restrictions, strikes, riots, government actions, sudden wars, etc.
（3） Product after-sales service
3.3.1 [After sales Service] The after-sales service for products sold on this platform is the responsibility of Huanian Mall.
3.3.2 [After sales service area] You know and agree that the Huanian Mall platform will only provide after-sales service to you in Chinese Mainland; If you are overseas, any other expenses related to after-sales service will be borne by you.
（4） Third party
3.4.1 [Payment Methods and Responsibilities] You have the right to choose the payment methods provided by Huayuan Mall. You understand and confirm that the payment services are provided by a third party with legal qualifications for users. The conditions and standards for the use of such payment services are determined by you and the payment service provider, and Huayuan Mall shall not be liable for such payment services.
3.4.2 [Export Control] Hua Nian Mall has the right to refuse to send prohibited goods to countries, regions, institutions or individuals blacklisted by the United Nations, the United States, the European Union and other countries. At the same time, you are not allowed to use any products produced or sold by Huanian Mall for any military purposes, support terrorism, nuclear facilities, biological and chemical weapons, missiles, weapons of mass destruction, etc. You must comply with all export and re export restrictions that may apply to goods, software, technology, and services from the United States or other countries. If you are subject to US sanctions or sanctions consistent with US laws imposed by the government of the country where you are using the services provided by Hua Nian Mall, you may not be able to use the services provided by Hua Nian Mall.
3.4.3 [Services Provided by Non Hua Nian Mall] Hua Nian Mall will not proactively provide paid services to you by phone or other means without your explicit service requirements. If you accept the above services, Hua Nian Mall shall not be liable for such services.
3.4.4 [Force Majeure and Third Party Reasons] Hua Nian Mall shall fulfill relevant obligations in accordance with the law, but shall not be liable for breach of contract in the event of obstacles to contract performance, defects in performance, delays in performance, or changes in performance content caused by the following reasons:
(1) Due to force majeure factors such as natural disasters, strikes, riots, wars, government actions, judicial administrative orders, etc;
(2) Service interruption or obstruction caused by public service factors such as power supply failure, communication network failure, or any other reasons such as hacker attacks, computer virus intrusion, illegal content information, harassment information blocking, government regulation, or any other network, technology, communication line, information security management measures that cannot meet your requirements;
(3) Due to routine or emergency equipment and system maintenance, equipment and system failures, network information and data security, and other factors, despite the good faith management of Huanian Mall.
4、 Protection and Authorization of User Information
4.1 [Personal Information Protection]
4.1.1 Hua Nian Mall will collect, use, and process your personal information in accordance with its privacy policy. According to applicable laws, you have the right to access, correct, delete, and cancel services or accounts related to your personal information. Please send an email to sales.cn@uxingroup.com Apply for modification.
4.1.2 After completing the collection purpose of personal information, Huanian Mall will stop retaining data or conduct desensitization and de identification processing. However, according to the relevant provisions of the Electronic Commerce Law of the People's Republic of China, Huanian Mall shall keep transaction information for three years from the date of completion of the transaction, but Huanian Mall will not process your transaction information in this part, except as otherwise provided by laws and administrative regulations.
4.1.3 We will not share your personal information with any company, organization, or individual outside of Huanian Mall, except for the following situations:
(1) Obtaining your explicit consent or authorization in advance;
(2) In accordance with applicable laws and regulations, legal procedures, mandatory administrative or judicial requirements, necessary information shall be provided, including but not limited to the relevant competent authorities requiring Huanian Mall to provide relevant e-commerce data information (including some personal information) in accordance with the Electronic Commerce Law.
4.1.4 [Third Party Login] When a user chooses to log in to Huayuan Mall with their existing WeChat or QQ account and associate it with their Huayuan Mall account, Huayuan Mall will obtain some information about the user on these platforms. In view of this, when the user performs the above actions, it means that you have agreed to Huanian Mall obtaining their information on these portal websites and social platforms.
4.2 [Information Release] You declare and guarantee that you have the corresponding and legal rights to the information you publish. Otherwise, Huanian Mall may delete or block the information you post in accordance with the law or this agreement.
4.3 [Prohibited Information] You should ensure that the information you post does not contain the following content:
(1) Violating the prohibitive provisions of national laws and regulations;
(2) Political propaganda, feudal superstition, obscenity, pornography, gambling, violence, terror, or instigation of crime;
(3) Fraudulent, false, inaccurate, or misleading;
(4) Infringing on the intellectual property rights of others or involving third-party trade secrets and other proprietary rights;
(5) Insulting, defaming, intimidating, or involving the privacy of others that infringe upon their legitimate rights and interests;
(6) There are viruses, trojans, crawlers, and other malicious software and program codes that may damage, tamper with, delete, or affect the normal operation of any system on the Huanian Mall platform, or obtain unauthorized and confidential data and personal information of the Huanian Mall platform and other users; (7) Other content that violates social public interests or public morality, or is not suitable for publication on the Huanian Mall platform according to relevant agreements and rules.
4.4 [Information Transmission] You agree that Hua Nian Mall has the right to send you and your designated recipients order information, promotional activities, advertisements, or advertising links through email, SMS, phone, and other forms of communication.
5、 Change
Hua Nian Mall may modify this agreement and supplementary agreements from time to time in accordance with changes in national laws and regulations, as well as the need to maintain transaction order and protect consumer rights. The modified agreements and supplementary agreements (hereinafter referred to as "changes") will be notified to you through legal procedures and in a reasonable manner. If you still do not agree with the changes that have already taken effect, you should stop using the Huanian Mall platform services from the effective date of the changes, and the changes will not have any effect on you; If you continue to use the services of the Hua Nian Mall platform after the changes have taken effect, it will be deemed that you agree to the changes that have already taken effect.
6、 Termination
6.1 When any of the following situations occur to you, the Huayuan Mall platform has the right to restrict all or part of your permissions (including but not limited to placing orders, participating in promotional activities, etc.), cancel relevant unfulfilled orders, terminate contracts, or cancel your Huayuan Mall account:
(1) Disrupting the normal operation of the website or affecting the provision of services to other users through cyber attacks, massive advertising, and other behaviors;
(2) Repeatedly posting information unrelated to the products or services being sold in the consultation area;
(3) Seeking benefits through improper means (such as cheating tools, cyber attacks, bank card fraud, etc.) or other illegal or infringing methods on the interests of third parties;
(4) Unjustifiably insulting or physically attacking salespeople or customer service personnel;
(5) Refusing to accept goods or services multiple times in a short period of time, not due to the quality of the goods/services;
(6) The order information you provided (including but not limited to name, telephone, ID number, e-mail, etc.) is untrue, inaccurate or incomplete;
(7) You have other activities that affect the normal operation order of the platform or violate the law.
6.2 [Processing after Account Termination] If your account on the Huayuan Mall platform is terminated, Huayuan Mall may notify the counterparty of any transaction orders generated during the validity period of your account and decide whether to close such transaction orders based on the counterparty's wishes; If the counterparty requests to continue to perform, you shall continue to perform the provisions of this agreement and the transaction order for such transaction order, and bear any losses or additional costs incurred as a result.
6.3 [Termination of Account Rights] Once your account on the Hua Nian Mall platform is terminated, your right to use the services of the Hua Nian Mall platform shall be terminated. Hua Nian Mall shall not be liable to you for terminating this agreement, including terminating your user account and deleting your user content; Hua Nian Mall is not obligated to provide you or third parties with the information and materials generated by your use of the Hua Nian Mall platform services.
7、 Intellectual Property
7.1 [Intellectual Property Protection] Your use of the Huayuan Mall account and Huayuan Mall platform services shall comply with the intellectual property provisions of relevant agreements such as the Huayuan Mall Account Usage Agreement.
7.2 [Intellectual Property License] The intellectual property rights of the original information, such as text, images, videos, software, and performances, that you use and upload through your account on the Huayuan Mall platform belong to you. However, you confirm that your publication and upload of such information is deemed to be a non exclusive, permanent, and irrevocable grant to Huayuan Mall the right to use, copy, and other related intellectual property rights, and you agree that Huayuan Mall may sublicense the above rights.
